This Standard Institutional License Agreement ("Agreement") governs an institution's licensed use of the Agentic AI Systems — Education platform (the "Service"). A license is issued to the purchasing institution for the term shown on the institution's Account page and is non-transferable.
Subject to the terms herein and payment of the applicable fees, the institution is granted a non-exclusive, non-transferable license to access and use the Service for the license term, for the institution's own educational purposes.
Each license runs from its start date through its end date. Consecutive licenses may be purchased; a renewal begins on the day after the prior license's end date so that coverage remains continuous. An expired license does not restore access until a new license is active.
AI-tutor usage is metered against the institution's prepaid credit pool. Credits are purchased separately from the license and are consumed as the institution's members interact with the tutors. When the credit balance is exhausted, tutor interactions are paused until additional credits are purchased. Credits carry over and do not expire while a license is active.
The institution retains ownership of its content. The Service processes interactions solely to provide and improve the tutoring experience for that institution, in accordance with the platform privacy policy.
The Service is provided on an "as available" basis. To the maximum extent permitted by law, the platform's aggregate liability is limited to the fees paid by the institution during the then-current license term.
